"ยูนิเวนเจอร์" ทุ่มเงิน 560 ล้านบาท เข้าซื้อหุ้น "พัฒนาอินเตอร์คูล" รุกธุรกิจตู้แช่ครบวงจร หวังกระจายความเสี่ยงจากธุรกิจอสังหาฯ
บริษัท ยูนิเวนเจอร์ จำกัด (มหาชน) หรือ UV เปิดเผยว่า ที่ประชุมคณะกรรมการบริษัท ครั้งที่ 6/2563-64 อนุมัติให้บริษัท ยูนิเวนเจอร์ แคปปิตอล วัน จำกัด ซึ่งเป็นบริษัทย่อยที่บริษัทถือหุ้น 100% เข้าซื้อหุ้นสามัญของบริษัท พัฒนาอินเตอร์คูล จำกัด (PIC) เป็นจำนวน 60% ของจำนวนหุ้นทั้งหมดใน PIC จากสิริมานะ ลิมิเต็ด (ผู้ขาย) ในราคา 560 ล้านบาทตามสัญญาซื้อขายหุ้น
รวมถึงอนุมัติให้ PIC เข้าซื้อที่ดิน 4 แปลง เนื้อที่รวม 29 ไร่ 3 งาน 19.8 ตารางวา ซึ่งเป็นที่ตั้งของสำนักงานและโรงงานของ PIC ในปัจจุบันจากนายคิม ตั้งสิริมานะกุล, นายเอกพงษ์ ตั้งสิริมานะกุล และนายพัฒนพงษ์ ตั้งสิริมานะกุล ในราคารวมไม่เกิน 220 ล้านบาท
โดยคณะกรรมการบริษัทเห็นว่า การเข้าลงทุน PIC จะก่อให้เกิดประโยชน์ต่อบริษัท เนื่องจาก PIC เป็นบริษัทผู้ผลิตตู้แช่เชิงพาณิชย์เพื่อใช้ในธุรกิจและอุตสาหกรรมต่างๆ ซึ่งมีประสบการณ์ในการดำเนินธุรกิจผลิตตู้แช่เชิงพาณิชย์มากกว่า 30 ปี และมีบริการออกแบบ ผลิต บริการหลังการขาย และวิจัยพัฒนาสินค้าตามความต้องการของลูกค้าอย่างครบวงจร จึงเป็นกิจการที่มีศักยภาพในการเติบโตทางธุรกิจและมีโอกาสสร้างผลตอบแทนจากการลงทุนให้แก่บริษัท
นอกจากนี้ การเข้าลงทุนดังกล่าวสอดคล้องกับกลยุทธ์การปรับโครงสร้างการลงทุนของบริษัทเพื่อกระจายความเสี่ยงจากการพึ่งพิงรายได้จากธุรกิจอสังหาริมทรัพย์ อีกทั้งบริษัทสามารถรับรู้รายได้และกำไรจากการดำเนินงานของ PIC จากการจัดทำงบการเงินรวมได้ทันทีภายหลังการเข้าลงทุน ทั้งนี้ คาดว่า ธุรกรรมการซื้อขายหุ้น และธุรกรรมซื้อขายที่ดินจะแล้วเสร็จภายในไตรมาส 4 ปี 2564
รวมทั้ง ยังได้อนุมัติให้บริษัท เลิศรัฐการ จำกัด (LRK) ซึ่งเป็นบริษัทย่อยที่บริษัทถือหุ้น 100% จำหน่ายหุ้นสามัญที่ถืออยู่ทั้งหมดในบริษัท แอล อาร์ เค ดีเวลลอปเมนท์ จำกัด จำนวน 15.60 ล้านหุ้น หรือคิดเป็น 60% ให้แก่บริษัท อเดลฟอส จำกัด มูลค่า 75.50 ล้านบาท ภายหลังการเข้าทำรายการ แอลอาร์เคฯ จะสิ้นสภาพเป็นบริษัทย่อยทางอ้อมของบริษัท
พร้อมกันนี้ อนุมัติการเปลี่ยนแปลงนโยบายบัญชีการวัดมูลค่าอสังหาริมทรัพย์เพื่อการลงทุน จากวิธีราคาทุนเป็นวิธีมูลค่ายุติธรรม โดยให้มีผลต่องบการเงินสำหรับรอบปีบัญชี 2564 สิ้นสุด วันที่ 30 ก.ย. 2564 เป็นต้นไป
